Inner table background is WHITE in Netscape 4.7, buy I need that it must be like outer table background or transparent or like this.

try adding background="bg.jpg" into the second table tag as well

You can also put the background="bg.jpg" in the <td> tag of the nested (second table), its not the proper way but it works
